UbeIndustries, Mitsubishi Rayon Co. (MRC) and JSR Corp., following approval fromtheir respective board of directors, have signed a shareholders’ agreement tointegrate their acrylonitrile butadiene styrene (ABS) resin subsidiaries.
日本三巨頭（宇部、JSR、三菱麗陽）ABS業(yè)務(wù)合并方案已獲各公司董事會(huì)批準(zhǔn)。
Thecombination involves UMG ABS, a 50-50 joint venture of Ube and MRC, and JSR'sTechno Polymer Co. subsidiary. Completion of the merger is expected on 1 Oct.2017; however, the date is subject to change.
該次合并涉及的公司，包括由JSR全資控股的大科能樹脂(Techno Polymer)，以及由宇部興產(chǎn)、三菱麗陽各自50%控股的 UMG ABS 株式會(huì)社（如下表）。

宇部、JSR、三菱麗陽三家公司已在2016年10月31日達(dá)成ABS業(yè)務(wù)合并最終協(xié)議，并擬在2017年10月1日正式完成合并。目前，該協(xié)議已經(jīng)獲得各公司董事會(huì)的批準(zhǔn)，但完成合并的具體時(shí)間將發(fā)生變動(dòng)。
"Thebusiness conditions surrounding the ABS resin business are becomingincreasingly challenging both in and outside of Japan," the companiesnoted. "The purpose of the integration is to optimize operations, enhancemanufacturing efficiencies, and secure cost competitiveness for the ABS resinbusiness, in order to secure the stable supply of products in Japan and expandsales in global markets," they explained.
此次合并的主要目的，是為了提高生產(chǎn)效率，保障成本的競爭優(yōu)勢，保障對日本地區(qū)的穩(wěn)定供應(yīng)，以及擴(kuò)展全球業(yè)務(wù)。
Theintegration will take the form of an absorption-type split with UMG ABS as theabsorbed company and Techno Polymer as the successor company. After the split,Techno Polymer will remain a subsidiary of JSR, and UMG ABS will be equallyowned by Ube and MRC as before.
TechnoPolymer will then allocate common shares to UMG ABS so that, on the day thatthe absorption-type split takes effect, JSR will own 51 % and UMG ABS will own49 % of the issued shares in the new company.
合并完成國后大科能公司將擁有新公司51%的股份，而UMG ABS公司則擁有新公司49%的股份。
Theabsorption-type split is subject to completion of procedures stipulated inJapan's Act on Prohibition of Private Monopolization and Maintenance of FairTrade, competition laws of other relevant countries, and other relevant lawsand regulations.
整個(gè)合并過程將嚴(yán)格按照日本反壟斷和公平交易法的相關(guān)法規(guī)，其它有關(guān)國家的競爭法及其它相關(guān)法律法規(guī)的規(guī)定完成。
